Terms and Conditions — Summly
These Terms and Conditions ("Terms") govern access to and use of the Summly mobile application, web application, and related services (collectively, the "Services"). By creating an account, accepting these Terms, or otherwise using the Services, you agree to be bound by these Terms.
Important: If you use the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization. In that case, "you" and "your" refer to both you and the organization.
1. About the Services
The Services provide tools for recording, importing, storing, transcribing, analyzing, and managing call and conversation data, including AI-generated summaries, action items, categorization, and collaboration features. Features may vary by plan, region, integration availability, and product updates.
2. Eligibility and Accounts
You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity under your account, including activity by users invited through your organization workspace. You must promptly notify us of any unauthorized access or suspected account compromise.
3. Customer Organizations and Administrators
Organization administrators may manage users, roles, permissions, retention settings, integrations, and data exports/deletions in accordance with your organization policy. You acknowledge that administrator actions may affect your access to and visibility of data within the Services.
4. Lawful Recording and Communications Compliance
You are solely responsible for ensuring your use of the Services complies with all applicable laws and regulations, including laws related to call recording, consent, privacy, employment, and electronic communications. This includes obtaining legally required consent, providing required notices, and implementing your internal compliance controls.
5. Acceptable Use
You agree not to:
- use the Services in violation of law, regulation, or third-party rights;
- upload malicious code, attempt unauthorized access, or interfere with Service security;
- reverse engineer, scrape, copy, or use the Services to build a competing product where prohibited;
- submit content for which you do not have sufficient rights and permissions;
- use AI outputs as a sole basis for legal, financial, medical, employment, or similarly high-risk decisions without appropriate human review.
6. Customer Content and License
You retain ownership of content you submit to the Services ("Customer Content"). You grant us a non-exclusive, worldwide, royalty-free license to host, process, transmit, and transform Customer Content only as necessary to operate, secure, support, and improve the Services, and as otherwise described in our Privacy Policy or applicable data processing agreement.
7. AI Features
The Services may generate transcripts, summaries, labels, tasks, and recommendations using automated models. AI outputs may be inaccurate or incomplete and must be validated by you before use in operational or compliance-sensitive contexts.
8. Third-Party Integrations
The Services may connect to third-party products and APIs (such as telephony systems, calendar providers, meeting platforms, cloud storage, and AI vendors). Your use of third-party services is governed by those third parties' terms and policies. We are not responsible for third-party products or availability.
9. Fees, Billing, and Taxes
Paid subscriptions, billing cycles, and applicable taxes are specified in your order form, checkout flow, or separate commercial agreement. Unless otherwise stated, fees are non-refundable. We may suspend paid Services for overdue accounts after reasonable notice where required by law.
10. Intellectual Property Rights
We and our licensors retain all rights, title, and interest in and to the Services, software, documentation, trademarks, and related intellectual property. No rights are granted except as expressly provided in these Terms.
11. Confidentiality
Each party may receive non-public information from the other. The receiving party will protect such information using reasonable safeguards and use it only for purposes of performing under these Terms, except where disclosure is legally required.
12. Suspension and Termination
We may suspend or terminate access to the Services for material breach, legal non-compliance, security risk, non-payment, or misuse. You may stop using the Services at any time. Upon termination, rights granted under these Terms end except for provisions that by nature survive termination.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) US$100.
15. Indemnification
You agree to defend, indemnify, and hold harmless us, our affiliates, and our respective directors, officers, employees, and agents from third-party claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your misuse of the Services, your Customer Content, or your violation of law or these Terms.
16. Governing Law and Jurisdiction
Unless otherwise agreed in writing, these Terms are governed by the laws of the State of Israel, excluding conflict of law principles. The competent courts of Tel Aviv-Jaffa, Israel will have exclusive jurisdiction, subject to any non-waivable rights available under applicable consumer protection law.
17. Changes to These Terms
We may update these Terms from time to time. Updated versions become effective when posted unless otherwise stated. Where required by law, we will provide additional notice. Continued use of the Services after an update takes effect constitutes acceptance of the revised Terms.
18. General Terms
These Terms constitute the entire agreement regarding the Services unless replaced by a separate written agreement. If any provision is held unenforceable, the remaining provisions remain in full effect. Our failure to enforce a provision is not a waiver of future enforcement.
